1. Acceptance of Terms
By accessing or using ZAPREACH ("Platform", "we", "us", "our") at https://zapreach.io, you ("User", "you") agree to be legally bound by these Terms & Conditions ("Terms"), our Privacy Policy, and our Refund Policy. If you do not agree, you must not create an account or use the Platform.
These Terms constitute a legally binding agreement under the Information Technology Act, 2000 and the Indian Contract Act, 1872.
2. Eligibility
- You must be at least 18 years of age to use ZAPREACH.
- You must have the legal authority to bind any business entity on whose behalf you register.
- You must hold a valid WhatsApp Business API access granted by Meta Platforms, Inc., and comply with all Meta policies when using ZAPREACH.
- You must comply with applicable Indian laws, including the IT Act 2000, IT (Amendment) Act 2008, and the Digital Personal Data Protection Act, 2023 (DPDPA).
3. Description of Service
ZAPREACH is a Software-as-a-Service (SaaS) platform that enables businesses to send WhatsApp campaigns, automate conversations, manage contacts, and analyse engagement through the Meta (Facebook) WhatsApp Business API. The Platform acts as a Business Solution Provider (BSP) intermediary.
4. Account Registration & Security
You may create a ZAPREACH account in one of two ways:
4.1 Email & Password Registration
- You agree to provide accurate, current, and complete information at registration.
- You are solely responsible for maintaining the confidentiality of your password and all activities that occur under your account.
4.2 Google Sign-In (OAuth 2.0)
ZAPREACH supports account creation and sign-in via Google OAuth 2.0. By choosing "Continue with Google" you:
- Authorise ZAPREACH to receive your name, email address, and profile picture from Google LLC, subject to Google's Terms of Service and Google's Privacy Policy.
- Agree that ZAPREACH will create an account using the email address associated with your Google account. No separate password is stored for Google sign-in accounts.
- Acknowledge that on your first Google sign-in, you will be required to review and accept these Terms, our Privacy Policy, and our Refund Policy before accessing the Platform.
- Understand that revoking ZAPREACH's access via your Google Account settings will prevent future Google sign-in but will not automatically delete your ZAPREACH account or data. Contact us at support@zapreach.io to request account deletion.
4.3 General Account Security
- You must notify us immediately at support@zapreach.io if you suspect any unauthorised use of your account.
- ZAPREACH reserves the right to suspend or terminate accounts that violate these Terms, applicable laws, or Meta's Acceptable Use Policy.
- You are responsible for securing access to the Google account linked to your ZAPREACHaccount, including enabling two-factor authentication on Google.
5. Payments & Billing (Razorpay)
All payments on ZAPREACH are processed by Razorpay Software Private Limited, a licensed payment aggregator regulated by the Reserve Bank of India (RBI). By making a payment you also agree to Razorpay's Terms of Service.
- Subscription fees are charged on a monthly or yearly basis in advance.
- All prices are inclusive of applicable taxes (GST) unless stated otherwise.
- ZAPREACH does not store your full card details; payment data is handled directly by Razorpay on PCI-DSS compliant infrastructure.
- Failed or disputed payments may result in immediate suspension of the service until dues are cleared.
- ZAPREACH uses one-time payments per billing period via Razorpay — there is no automatic recurring charge. Each renewal is a new payment initiated by you. You will receive a reminder email at least 3 days before your current period expires.
6. WhatsApp & Meta Policy Compliance
Your use of ZAPREACH to send messages via the WhatsApp Business API is subject to and must comply with:
You specifically agree that you will:
- Only send messages to recipients who have opted in to receive communications from you.
- Only use approved WhatsApp Message Templates for business-initiated conversations outside the 24-hour customer service window.
- Not send promotional messages to users who have not explicitly consented under applicable law, including the Telecom Commercial Communications Customer Preference Regulations (TCCCPR) 2018 issued by TRAI.
- Not use the Platform to facilitate any activity prohibited by Meta.
Violations of Meta policies may result in your WhatsApp Business Account being restricted or permanently banned by Meta. ZAPREACH bears no liability for such enforcement actions by Meta.
7. Anti-Spam Policy
ZAPREACH has a zero-tolerance policy towards spam. You must not use the Platform to:
- Send unsolicited bulk messages (spam) to individuals who have not opted in.
- Harvest contact information without consent.
- Send messages that violate the Telecom Commercial Communications Customer Preference Regulations (TCCCPR) 2018 or any DNC (Do Not Call) registry requirements.
- Impersonate another business, person, or entity in your messages.
- Send phishing, malware, or fraudulent content.
Violation of this policy may result in immediate suspension, account termination, reporting to relevant authorities, and civil/criminal liability under the IT Act 2000 and IPC.
8. Prohibited Uses
You agree not to use ZAPREACH to:
- Violate any applicable local, state, national, or international law or regulation.
- Transmit material that is defamatory, obscene, offensive, or violates the dignity of individuals as per the Indian Penal Code or IT Act.
- Infringe any intellectual property rights of ZAPREACH or third parties.
- Reverse engineer, decompile, or tamper with the Platform.
- Attempt unauthorised access to any part of the Platform or its infrastructure.
- Resell or sublicense access to the Platform without our express written consent.
9. Indian IT Act Compliance
ZAPREACH operates in compliance with the Information Technology Act, 2000 (IT Act) and its amendments. Specifically:
- Section 43A — We implement reasonable security practices and procedures to protect sensitive personal data or information (SPDI) as required under the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
- Section 67 & 67A — Transmission of obscene or sexually explicit material through ZAPREACH is strictly prohibited and constitutes a criminal offence.
- Section 72A — Disclosure of personal information without consent, in breach of a lawful contract, will be treated as a criminal offence.
- DPDPA 2023 — ZAPREACH acts as a "data fiduciary" under the Digital Personal Data Protection Act, 2023. Users are "data principals". Refer to our Privacy Policy for full details on data processing.
- Intermediary Liability (Section 79) — ZAPREACHoperates as an intermediary. We are not liable for third-party content transmitted through the Platform, provided we act in accordance with Section 79 of the IT Act and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
10. Intellectual Property
All content, branding, trademarks, software, and materials on the Platform are the exclusive property of ZAPREACH or its licensors. You may not copy, reproduce, or redistribute any part of the Platform without prior written consent.
You grant ZAPREACH a limited, non-exclusive, royalty-free licence to use content you upload (e.g. message templates, media) solely for the purpose of providing the service.
11. Disclaimers & Limitation of Liability
- The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
- ZAPREACH does not guarantee uninterrupted access. Meta API downtime, WhatsApp platform issues, or third-party outages are beyond our control.
- To the maximum extent permitted by applicable law, ZAPREACH's total aggregate liability shall not exceed the subscription fees paid by you in the three (3) months preceding the event giving rise to the claim.
- ZAPREACH is not liable for any indirect, incidental, special, or consequential damages including loss of data, revenue, or business opportunities.
12. Indemnification
You agree to indemnify, defend, and hold harmless ZAPREACH, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your: (a) violation of these Terms; (b) misuse of the Platform; (c) breach of any applicable law; or (d) infringement of third-party rights.
13. Termination
Either party may terminate this agreement at any time. You may delete your account via the account settings. We may suspend or terminate your account immediately if you violate these Terms, applicable laws, or Meta's policies.
Upon termination, your right to access the Platform ceases. Data retention and deletion will follow our Privacy Policy.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
15. Changes to Terms
ZAPREACH reserves the right to modify these Terms at any time. Changes will be notified via email and/or an in-app notice at least 7 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
